BOARD BY-LAWS BY-LAWS OF LAKE ARROWHEAD CLUB, INC. ARTICLE I. NAME. The name of the Corporation shall be: ARTICLE II. SEAL. The Seal of the Club shall be inscripted: ARTICLE III. OBJECTS. The objects of this Club are to provide for the care and maintenance of the roads, dams, parks, beaches, lakes, waters and streams, docks, piers, pavilions, clubhouses, buildings and other structures, and other grounds used for recreation and sports, boating, bathing and fishing, on property owned by Lake Arrowhead; and to promote health, welfare, morals, pleasure, recreation, indoor and outdoor sports, entertainments and social welfare for its members. Lake Arrowhead is herein understood to be that area surrounding the bodies of water known as Lake Arrowhead, Great Bay, Bay of Deep Waters, and the area known as the Forest Section, which have been developed by the Arthur D. Crane Company as the community of Lake Arrowhead and which is delimited as Lake Arrowhead district on the map entitled "Map of Lake Arrowhead, Denville-Mt. Lakes, Morris County, NJ. ARTICLE IV. MEMBERSHIP. SECTION 1. Classes of Membership. There shall be two classes of members: A) Active, B) Associate. A) Active Members shall be recognized as such persons who own property or are under contract to purchase land at Lake Arrowhead, who apply for membership and are elected by the Board of Trustees as Active Members. B) Associate Members shall be recognized as those who reside in Lake Arrowhead as described in Article III, second paragraph, and who apply for membership, and are elected by the Board of Trustees as Associate Members. Associate Members shall not be allowed voting privileges, but shall have all other privileges afforded Active Members. SECTION 2. Voting. No one but Active Members in good standing shall be entitled to vote or hold office, provided, however, that only one vote shall be cast for each membership. SECTION 3. Application for Membership. A) Applications for both classes of membership shall be signed by the applicants. Applications shall indicate to whom and to what address notices from the Club are to be sent. B) Applications for membership shall be presented to the Secretary who shall refer them to the Board of Trustees for approval. SECTION 4. Termination of Membership. Membership of a Member in this Club shall be considered terminated by the Board of Trustees: 1) if dues for the calendar year have not been paid by July 1, or 2) upon receipt of a voluntary resignation tendered in writing, addressed to the Secretary; but such resignation need not be accepted unless the resigning member is at the time, in good standing and has liquidated all arrears to the Club, and provided that no charges against said member are pending before the Board of Trustees. Membership shall be suspended or terminated: 1) for failure to pay the charges and dues herein provided; 2) for cause. See Article V, Section 4a. SECTION 5. Dues. A) The annual dues shall be set by the Board of Trustees and approved by a 2/3 vote of the Club members present at the time of the vote. B) The dues of Active and Associate Memberships shall become due and payable on March 1st of each year. C) The initiation fee for new memberships, effective April 1, 1973, will be $50.00. The initiation fee will be assessed to all new applicants including past members whose membership has lapsed for one calendar year. The initiation fee may be waived under extraordinary conditions which shall be determined by the Board of Trustees. D) Members who fail to pay their yearly dues by July 1 shall cease to be members in good standing, and subject to the provisions of Article V, Section 4d. E) In the event it shall be decided by the Board of Trustees that further funds are unnecessary for Club purposes for the time being, said Board of Trustees may reduce or waive the amounts herein provided to be paid, for such period as in the judgment of the said Board, may be justified; but in the exercise of this power there shall be no discrimination. F) All funds received by the Club shall be used only for the purpose of Lake Arrowhead Club. The Club funds shall be used for objects and purposes of this Club, in accordance with a yearly meeting held before March 1st of each year. Prior to the adoption of the budget, expenditures shall be limited to cash on hand except by authorization of a special meeting of the Club or except as provided by Article V, Section 4. SECTION 6. Guests. The admission of guests to the clubhouse and grounds, and all restrictions and charges in connection therewith shall be subject to the regulations of the Board of Trustees. Non-members using the lakes, field or other Club properties are subject to the regulations of the Board of Trustees. SECTION 7. Complaints. A) Any complaint made against a member must be submitted in writing to the Board of Trustees and a copy supplied to the member (via registered mail) complained of for his or her information. B) Complaints of any deficiencies in the service of the Club, of overcharge, mischarges, mistakes or defects must be made in writing to the Board of Trustees. ARTICLE V. BOARD OF TRUSTEES. SECTION 1. The government and management of the Club shall be entrusted to a Board of Trustees. SECTION 2. Election The Board of Trustees shall consist of eleven members, each to serve a term of three years. The Board of Trustees shall annually elect from its members a President, Vice-President, Secretary and Treasurer to serve for one year each. SECTION 3. Vacancies. A vacancy existing in the Board of Trustees from any cause other than expiration of a term, shall be filled by appointment of the President, subject to confirmation by a majority vote of the Board. A person so appointed shall hold office until the end of the fiscal year in which he or she is appointed or until the election of his successor. At the next Annual Meeting of the Club following such vacancy in the Board of Trustees, the Club shall elect a member to serve for the unexpired term. SECTION 4. Powers and Duties of the Board of Trustees. The Arthur D. Crane Company having vested in the Club the right and privilege of formulating rules and regulations governing the use of the lakes, roads, parks, docks, dams and approaches, it is hereby provided that the Board of Trustees may from time to time formulate, issue and enforce for the Club such rules and regulations consistent with its powers as to it shall seem best. Copies of these rules and regulations shall be available to all property owners and tenants of property owners. The Board of Trustees shall annually issue and enforce for the Club such rules and regulations consistent with its powers governing the use of the beach, lakes and all other private property of the Club. These rules and regulations shall be nonvotable attachment to the By-Laws. A) To suspend or expel any member of the Club, by a two-thirds vote of the entire Board for any violation of the By-Laws or Rules, or for any conduct not in violation of the By-Laws or Rules, but in the opinion of the Board, is improper and prejudicial to the welfare or reputation of the Club. No member shall be suspended for a period exceeding three months, nor shall a member be expelled without first having been given two weeks notice of the charges preferred against him or her and of the time when he or she can submit to the Board a written answer to such charges. B) To prescribe rules for the admission of guests. C) To fix penalties for the violation of the rules, and to enforce the same. D) To remit penalties for offense against the rules and violation of the By-laws E) To remove an officer of the Club or a member of any Committee by a two-thirds vote of the entire Board. F) To admit by ballot applications for membership to the Club. A two-thirds vote is required to elect. G) To elect its presiding officer in the absence of both the President and the Vice-President. " To appoint such committees as it may deem necessary to the maintenance of the Club. To confirm or reject any plans made by any Committee so appointed. J) To impose restrictions on the use of Club privileges. K) To lease rooms in the clubhouse to outside organizations and to fix the rentals of the same, and to impose any restrictions they may think proper on the issue. L) To arrange for financing for any unusual expenditures that may be voted by the Club. M) To approve or reject building plans in accordance with the authority granted under the restrictions contained in the deeds to property at Lake Arrowhead. N) The Board of Trustees may declare vacant the office of any member of the Board who is absent, without adequate cause, from three consecutive meetings. O) The Board of Trustees is empowered to spend up to Two Thousand Five Hundred Dollars ($2,500.00) for emergency purposes only, for the protection of the property of the Club, of the property of the owners, or of adjoining property, such sums to be considered as outside of the regular budget for the year. The Board of Trustees must, however, send to each Member a written statement of the nature of the emergency and of the amount of the expenditure within ten days of any such expenditure. P) The Board of Trustees may, upon unanimous assent, grant restricted privileges for use of Club property. Q) To see that all Beach Membership and Boat Tags are issued annually. R) To distribute to all members a written Annual Report. S) To perform any other acts, not specified, but necessary to the general management and control of the affairs, funds and property of the Club. ARTICLE VI. OFFICERS. SECTION 1. The officers of the Club shall be: President, Vice President, Secretary and Treasurer. SECTION 2. Duties of Officers. A) The President, and in his or her absence the Vice-president,
shall preside at meetings of the Club and the Board of Trustees. B) The Secretary shall give notice of all meetings of the Club and of the Board of Trustees, and shall keep minutes of the meetings. He or she shall conduct the correspondence and keep these records of the Club. He or she shall furnish to the Treasurer the names of all persons elected to the Club, and shall also advise him or her of all transfer or changes affecting the membership. He or she shall notify candidates of their election. On receipt of nomination from the Nominating Committee, and of any other nominations, legally made, the Secretary shall, in each case, immediately upon receipt or as soon as possible thereafter, mail the list to each member. The Secretary shall sign and/or attest all documents and affix the Club Seal thereto when required by law. C) The Treasurer shall, subject to the control of the Board of Trustees, be charged with the collection of the funds of the Club, including all fees and dues, and shall keep the accounts of the Club and report thereon at each regular meeting of the Board of Trustees. His or her accounts shall be reviewed annually. He or she shall pay all bills upon review and approval in such manner as the Board of Trustees may prescribe. The Treasurer, or in his or her absence the Secretary, shall sign all checks and notes and submit at the annual meeting of the Club a complete financial statement for the fiscal year. SECTION 3. No officer shall receive any salary, but a salary may be paid to employees of the Club. COMMITTEES. SECTION 1. The Nominating Committee shall consist of five members, of which three shall be elected each year at the Annual Meeting by ballot, and two members appointed by the Board of Trustees. The Committee, so constituted, shall nominate candidates to replace the outgoing Trustees. Said Committee shall also nominate three candidates for election to the Nominating Committee of the succeeding year. The Committee shall have power to fill vacancies in their number, and shall deliver to the Secretary, twenty days prior to the Annual Meeting, the names of the Candidates for election as Trustees. SECTION 2. All committees necessary to the maintenance of the Club shall be appointed by the Board of Trustees, who will designate the name of each committee in accord with its particular function. All committees organized under the provisions of this section shall report to the Treasurer from time to time in advance, the approximate amounts they will need to spend, and such expenditures must be authorized by the Board of Trustees before they shall be made. ARTICLE VIII. MEETINGS. SECTION 1. A) The Board of Trustees shall meet once a month and shall
arrange for quarterly meetings of the general membership. C) Quorum. Six members shall constitute a quorum of the Board of Trustees. SECTION 2. The Annual Meeting of the Club for the presentation of reports and elections of Trustees and the three members of the Nominating Committee for the succeeding year shall be convened at 8 o'clock in the evening during the month of November as designated by the Board of Trustees. A) Any ten members in good standing, none of whom are on the Nominating Committee, may propose candidates for election at the Annual Meeting, if such proposal be delivered to the Secretary in writing and signed by the proposers, not later than ten days before the Annual Meeting. B) The election of the Board and three members of the Nominating Committee shall be by ballot. The presiding officer shall appoint tellers who shall also act as inspectors, and the polls shall be kept open for one hour. C) The tellers shall receive the ballots of all members voting in person or by proxy, and upon the closing of the polls they shall canvass the ballots received and certify the result to the presiding officer. D) A plurality of all the votes cast at such meeting shall be necessary to the election of a member of the Board either to a place of incoming class or to fill the vacancy.
A) The President or a majority of the Board of Trustees shall have the power to call Special Meetings of the Club at any time. B) Upon written request of twenty members, the Board of Trustees shall call a Special Meeting of the Club. Such request shall state the reason for which the meeting is called. C) The notice of any Special Meeting shall state the object for which the meeting is called and at a Special Meeting, no subject not stated shall be considered. Not less than ten days notice of any such meeting and of the reason for which it has been called shall be given to the members of the Club. SECTION 4. Notice. Every member shall furnish to the Secretary an address to which all notices and documents prescribed by the By Laws or Rules may be sent, and the same shall be held to have been duly sent to or served upon a member when mailed or otherwise delivered to him or her at the address so furnished. SECTION 5. Quorum. Fifteen percent of the Active Members in good standing shall
constitute a quorum at any meeting. Each voting member in good standing
shall be entitled to vote in person or proxy at any meeting subject to
the provision of Article IV, Section lA. No member shall vote more than
one proxy. If no quorum be present within one half hour following the
scheduled meeting time, the presiding officer shall postpone the meeting
to any other day with the same effect as if held above. SALE, TRANSFER, OR DISPOSAL OF CLUB-OWNED PROPERTY. As properties are maintained solely for health, welfare, morals, pleasure, recreation, indoor and outdoor sports, entertainments, and social welfare of Lake Arrowhead Club membership, they will not be utilized for any commercial purposes. Further sale, transfer, or disposal of these properties must be approved by members, in person or proxy, at any meeting of the Club. ARTICLE X. CONSTRUCTION OF BY-LAWS AND RULES. In respect to all questions of construction of the By-laws and Rules, the decision of the Board of Trustees shall be final and conclusive.
AMENDMENTS. SECTION 1. Amendments to these By-laws maybe made at any meeting of the Club. An Amendment to the By-laws requires two-thirds vote of the members present in person or proxy. -12- Procedure for proposing Amendments will be as follows: A) Notification of proposed amendment to the By-laws shall be furnished to the Secretary. B) The Secretary shall cause the proposed amendments to be printed and distributed to members at least ten days before the meeting at which it is proposed to consider them. Adopted 1928.
