AUXILIARY BY-LAWS

REVISED MAY 1999

CONSTITUTION AND BY-LAWS
THE AUXILIARY OF
LAKE ARROWHEAD CLUB, INC.

BY-LAWS: These by-laws of the Auxiliary of Lake Arrowhead are intended to conform to the by-laws of Lake Arrowhead Club, Inc. If any question should arise, same must be decided by Joint Conference of the Board of Trustees of Lake Arrowhead Club, Inc., and the Officers of the Auxiliary of Lake Arrowhead Club.

ARTICLE I NAME

The name of this association shall be THE AUXILIARY OF LAKE ARROWHEAD CLUB.

ARTICLE II OBJECTIVES

The objectives of this Auxiliary shall be:

1. To create a spirit of friendly cooperation in Lake Arrowhead Club by means of social activities.

2. To oversee the care of all furnishings of Lake Arrowhead clubhouse and recommend replacement or repair of same.

3. To raise funds for maintenance of Club furnishings and to assist Lake Arrowhead Club financially if the need should arise.

ARTICLE III MEMBERSHIP

Membership in this Auxiliary shall be of two types, Active and Associate.

A. Active members are property owners or are under contract to purchase land at Lake Arrowhead and maintain active membership in Lake Arrowhead Club.

B. Associate members rent property and maintain active membership in Lake Arrowhead Club. Associate members are entitled to all privileges of the auxiliary except that of voting and holding office.

ARTICLE IV OFFICERS
Section 1. The Officers of this Auxiliary shall be a President or two Co-Presidents, a Vice President, a Secretary, and a Treasurer.

A. The slate of Officers shall be presented to the active membership 10 days prior to the Annual Meeting.

B. All Officers shall be elected at the Annual Meeting and continue in office for two (2) years. They shall take office on June 1 following the election.

At that time all records must be turned over to their successors by the outgoing officers.

C. A majority of all votes cast shall be necessary to constitute an election.

D. Vacancies in office, except the office of President, shall be appointed by the Officers from the active membership.

Section 2. The Members- at- Large shall consist of Cheer, Clubhouse, and Refreshment Chairperson.

The Cheer Chairperson shall send well wishes and when necessary, arrange for flowers or gifts to be sent to Auxiliary members only.

The Clubhouse Chairperson shall have supervision of maintenance of the clubhouse furnishings and shall purchase basic paper necessities, cleaning and restroom supplies.

The Refreshment Chairperson shall provide refreshments for all regular and Annual meetings of the Auxiliary.

Section 3. The Nominating Committee shall consist of three (3) members. The Chairperson is appointed by the President and is chosen from the Officers. The other two (2) shall be chosen from the General Membership.

ARTICLE V DUTIES OF OFFICERS

Section 1. The President (or CO-Presidents) shall exercise the functions of a presiding officer and shall be ex-officio member of all committees except the Nominating Committee. She (He) shall appoint the chairperson of standing and special committees, subject to approval of the Officers. She (He) shall countersign all checks with the Treasurer. In the absence of either of these two Officers, the Vice President or Secretary may sign in their stead.

Section 2. The Vice President shall perform the duties of the President ( or Co-President) in her (his) absence or at her (his) request. In case of a vacancy in the office of President, the Vice President shall succeed at once to the office of President, to serve until the next Annual Meeting.

Section 3. The Secretary shall keep correct records of all Auxiliary and Officer meetings, and shall report at each regular meeting. She (He) shall conduct correspondence of the Auxiliary, shall keep record of the full name and addresses of all members, and shall issue notice for meetings when so directed She (He) shall keep a copy of the Current Auxiliary and Main Board by-laws on hand.

Section 4. The Treasurer shall be custodian of all funds of the Auxiliary, shall deposit same in a bank approved by the Officers, and shall pay out the same by check (or by cash in special instances) at the direction of the Officers. She (He) shall keep a crest account of all money received and expended, shall make a statement at all meetings to the Officers and to the members, and shall render a report in writing at the Annual Meeting.

ARTICLE VI MEETINGS

Section 1. The Annual meeting shall be held in the month of May. At this meeting the four (or five) Officers and the three Members-at-Large shall be elected. If there is but one candidate for each office, the vote may be cast by the Secretary.

Section 2. Meetings of the Officers shall be held when deemed necessary.

Section 3. General meetings of the Auxiliary shall be held when deemed necessary but not less than 4 each year, occurring once per quarter. Members shall receive written notification of meetings including date, time, location and agenda, no less than 10 days prior to meeting. Agenda shall include any and all items that may require a vote. 10 day notification is waived in the event of an emergency meeting.

Section 4. The order of business at meetings shall follow the procedures set forth in Robert's Rules of Order when necessary.

ARTICLE VII QUORUM

Section 1. A quorum of the Officers shall be four (4).

Section 2. Seven of the Active membership of the Auxiliary excluding the Officers shall constitute a quorum at any regular or Annual Meeting, but at no time shall the lack of a quorum at a regular meeting prevent those present from proceeding with the meeting. A vote of the membership may not be taken if a quorum is not present.

ARTICLE VIII AMENDMENTS

Provided a quorum is met the Constitution and By-laws of this Auxiliary may be amended by a two-thirds vote of the active membership present at any meeting, provided the amendment has been circulated to all members no less than 10 days prior to the meeting.

ARTICLE IX EXPENDITURES

The Officers of the Auxiliary may, without consultation with the active membership, disburse moneys from its treasury for all normal payments to vendors or to reimburse Auxiliary members for approved purchases.

Section 1. Such expenditures or reimbursements may include, but are not limited to, such items as paper and cleaning supplies intended for clubhouse use and food and entertainment for social activities sponsored by the Auxiliary.

Section 2. In no instance may the Officers allow the disbursements of any one payment to a vendor or an Auxiliary member in excess of $450.00. Any disbursement or reimbursement that exceeds, or has the potential to exceed $450.00 must be voted upon and approved by the active membership at a duly advertised meeting.
